# Spoor — Terms of Service > The English text is the governing version. The Chinese translation is provided for convenience; if the two versions differ, the English version controls. **Version:** 1.1.0 **Last updated:** 20 August 2026 --- ## 1. Acceptance of Terms Welcome to **Spoor** ("Spoor", "we", "us", or "our"). We are **灰阶法典（佛山）科技有限公司** (Huijie Fadian (Foshan) Technology Co., Ltd.), a company duly organized under the laws of the People's Republic of China, with our registered address in Chancheng District, Foshan, Guangdong, China (广东省佛山市禅城区). These Terms of Service (the "**Terms**") govern your access to and use of our AI-powered spatial notes service, including the canvas, AI personas (the Mirror of Insight, the Weaver, the Smoothing Iron, the Star-Gazer, and others), and any related features made available at [https://spoor.ink](https://spoor.ink) or via the Spoor desktop build (the "**Service**"). By creating an account, subscribing to a plan, or otherwise using the Service, you confirm that you (a) are at least 18 years of age, (b) have read, understood, and agree to be bound by these Terms, (c) acknowledge our Privacy Policy, and (d) have the authority to enter into this agreement on your own behalf or on behalf of the organisation you represent. > If you do not agree to these Terms, do not use the Service. Continued use after any update constitutes acceptance of the revised Terms. --- ## 2. Description of the Service **2.1 What we provide.** Spoor provides an AI-driven spatial notes canvas. Users arrange notes, screenshots, documents, research findings, and AI-generated responses on a single infinite canvas, then call on AI personas to question, connect, rewrite, and research their ideas. The Service is delivered as a digital Software-as-a-Service (SaaS) product, accessible via web browser or via the Spoor desktop build (NSIS installer for Windows / Tauri runtime). **2.2 Digital nature.** The Service is a digital, intangible product. Access is activated upon successful payment (where applicable) or, in the case of Free plans, immediately upon registration. Because delivery is instantaneous, refunds are subject to specific limits described in Section 7. **2.3 AI model providers.** The Service interoperates with third-party AI model and search providers, which may include Google (Gemini / `@google/genai`), Volcengine Ark (Doubao), Xiaomi MiMo, DeepSeek, Metaso, 302.AI, and any other provider configured by either you or us. **For Free-tier users who provide their own API key (BYO Key — see §9.5), the provider is your direct counterparty**; we are not a party to that transaction and do not see or bill your provider. For Pro and signed-in Free users using Spoor's hosted AI, our providers are listed in the Settings panel of the application. The performance and availability of the Service may depend on these third parties. We will notify users of any material service disruption. **2.4 Local-first data.** The Free tier stores all canvas content locally in your browser's IndexedDB (web) or on your local disk (desktop build). Spoor's servers **do not receive this content** unless you explicitly sign in to enable optional Supabase-based cloud sync as described in our [Supabase setup guide](./SUPABASE.md). --- ## 3. Account Registration **3.1 Account creation.** To use the Service you must create an account using accurate and complete information, or sign in via an existing provider. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. **3.2 Account security.** - If you detect any unauthorised use, immediately contact [w978109720@gmail.com](mailto:w978109720@gmail.com). - Do not share login credentials with any third party. - Keep your billing email address current. **3.3 Organisation accounts.** If you register on behalf of a company or other organisation, you represent that you have authority to bind that entity to these Terms. --- ## 4. Plans We offer subscription plans to access the Service. The current plans and pricing are described in detail on our pricing page ([https://spoor.ink/pricing](https://spoor.ink/pricing)). The Free plan is offered without charge. We reserve the right to modify plan features, introduce new plans, or retire existing plans at any time. Price changes are governed by §5.1. > **Note on local-first:** The Free plan stores content locally on your device. You do not need a Spoor account merely to use the desktop build with your own AI provider credentials. An account is required to enable paid plans, cloud sync, hosted AI credits, or to issue subscriptions. --- ## 5. Billing & Payment **5.1 Auto-renewal authorisation.** When you provide a payment method and subscribe to a paid plan, you explicitly authorise Spoor to charge your payment method the then-current subscription fee at the start of each billing cycle and at the start of every renewal cycle thereafter, until you cancel in accordance with §6. **For annual subscriptions, we will send a renewal notice at least 7 days before the renewal date.** **5.2 Free plan.** No payment is required for the Free plan. By using the Free plan, you agree that any AI inference cost incurred through AI personas is billed by the provider you select (Google, Volcengine, etc.) under that provider's own terms, when using your own API key. Spoor does not charge, process, transmit, or store your payment card details for the Free plan. **5.3 Hosted AI credits.** Signed-in Free accounts receive a one-time hosted allowance of 500,000 text tokens, 10 generated images, and 30 minutes of voice writing (speech recognition plus up to 20,000 characters of speech synthesis). The allowance does not reset each month. Pro plans use the same hosted path without those caps. You may instead provide your own API keys; usage on your keys is billed by that provider and does not count against the Spoor allowance. **5.4 Payment processor.** Paid-plan payment data is processed exclusively by our PCI-DSS-compliant payment processor (**Waffo Pancake**). Spoor never stores raw payment card data on its own servers. **5.5 Taxes.** Unless otherwise stated, listed prices do not include applicable taxes (including VAT, GST, sales tax, etc.). Where required by law, we will collect and remit applicable taxes. --- ## 6. Cancellation **6.1 How to cancel.** You may cancel your subscription at any time, in any of the following ways: - **Online (recommended):** Settings → Subscription → Cancel - **Email:** Send a cancellation request from the email associated with your account to [w978109720@gmail.com](mailto:w978109720@gmail.com). Cancellation takes effect at the end of the current billing cycle. We will send a confirmation email within 10 minutes. **6.2 Effect of cancellation.** - You retain full access until the end of the current billing cycle. - No further billing cycles will be charged. - Cloud-synced account data will be retained for 30 days after cancellation and then deleted in accordance with our Privacy Policy. **Locally stored canvas data is unaffected by cancellation of the cloud subscription; it remains on your device until you delete it.** - If you remain within any refund window described in §7, you may still request a refund after cancellation. **6.3 Effect of downgrade.** Downgrading to a lower tier (e.g. Pro → Free) takes effect at the end of the current billing cycle. Features unique to the higher tier may be disabled at that time. --- ## 7. Refund Policy **7.1 General policy.** Because the Service is digital and access is granted immediately upon payment, subscription fees are non-refundable except as described in this Section. **7.2 Refundable situations.** - **New-subscriber 7-day guarantee.** First-time subscribers may request a full refund within 7 days of the initial charge, provided usage has not exceeded 20% of the plan's monthly allocation. - **Duplicate charges.** Charges made in error due to a confirmed billing error are fully refundable. - **Verified service interruption (>72 hours).** Prolonged service interruptions caused by Spoor may be refunded pro-rata or compensated by extending the subscription period at your option. - **Statutory rights.** Where applicable law (for example, EU/UK 14-day cooling-off periods, Australian Consumer Law, or California consumer rights) grants a right of withdrawal or refund, that right is preserved. **7.3 How to request.** Email [w978109720@gmail.com](mailto:w978109720@gmail.com) with your account email, the transaction ID, and the reason for the refund. We confirm within 2 business days and process eligible refunds within 5–10 business days via the original payment method. **7.4 Non-refundable items.** - Fees for any billing cycle in which the Service has been used (except as described in §7.2). - Annual subscription fees where the refund request is made more than 30 days after the initial purchase. - Accounts closed for breach of these Terms or the Acceptable Use Policy (§10). **7.5 BYO-Key provider costs.** Spoor does not bill Free-tier users for AI usage and cannot issue refunds for charges levied directly by your third-party AI provider (Google, Volcengine, etc.) under your own API key. Please contact your provider directly for those matters. --- ## 8. Billing Disputes If you believe a charge is incorrect, please contact [w978109720@gmail.com](mailto:w978109720@gmail.com) **before initiating a chargeback with your bank or payment provider**. We commit to responding within 2 business days and resolving confirmed billing errors within 5 business days. --- ## 9. AI Content & Intellectual Property **9.1 Output ownership.** Subject to your compliance with these Terms, AI-generated content produced from your inputs ("**Outputs**") belongs to you. You may use the Outputs for any lawful purpose permitted by §10, including personal notes, business automation, research, and creative work. **9.2 Input licence.** By submitting content ("**Inputs**") to the Service, you grant Spoor a limited, non-exclusive licence to use those Inputs solely to provide the Service to you (including, where applicable, transmitting them to the AI provider you have selected). **We will not use your Inputs to train any AI model without your explicit consent.** **9.3 Third-party AI model providers.** Spoor relies on third-party model and search providers (including Google, Volcengine, Xiaomi MiMo, DeepSeek, Metaso, 302.AI). Outputs may reflect characteristics and limitations of those providers' models. We do not guarantee the accuracy, originality, or non-infringement of any Output, and we are not responsible for content produced by a model whose API key you supply (BYO Key). **9.4 No-output warranty.** AI-generated content may contain errors, omissions, or out-of-date information. You are responsible for reviewing and verifying any Output before relying on it. **9.5 BYO Key — your direct relationship with the provider.** When you provide your own API key for an AI provider on the Free plan, you enter into a direct commercial relationship with that provider under its own terms. Spoor: - Does not see, transmit, store, or proxy the API key beyond what's required to make the call from your device; - Does not bill you for the resulting usage; - Does not act as a reseller, agent, or co-party of the provider; and - Is not a party to, and bears no liability under, your agreement with the provider. If your provider revokes your key, raises quota limits, or terminates your access, Spoor is unable to restore service for the affected persona and is not liable for any resulting loss. --- ## 10. Acceptable Use The dedicated [Acceptable Use Policy](https://spoor.ink/aup) (the "**AUP**") is incorporated into these Terms. If this Section and the AUP differ on a content-safety point, the AUP controls for that point. **10.1 Permitted uses.** You may use the Service only for lawful purposes consistent with these Terms and the AUP, including personal note-taking, research, business productivity, education, and creative work. **10.2 Prohibited generated content.** You must not use the Service — including hosted, text-driven AI image generation — to generate, request, or distribute any of the following. Each item is independently prohibited (this list is not a summary of “illegal content” in the abstract): - **Pornography / NSFW content.** - **Violence / gore.** - **Hate speech.** - **Child-unsafe content (CSAM)** and any sexual content involving minors. - **Deepfakes / impersonation** of real persons, including non-consensual intimate imagery. - **Copyright / trademark infringement.** **10.3 Other prohibited uses.** You also agree not to: - Generate content that is otherwise illegal, defamatory, harassing, deceptive, or fraudulent. - Create malware, phishing material, or cybersecurity attack tools. - Circumvent or interfere with any security feature of the Service, including prompt-safety scanning. - Resell or sublicense access without Spoor's prior written consent. - Violate any applicable law, regulation, or card-network rule (where paid plans use a card-accepting processor). **10.4 AI-specific prohibitions.** You specifically agree not to: - Use any Input, Output, model response, or derivative data obtained from the Service to train, fine-tune, benchmark, or otherwise develop any AI or machine-learning model that competes, directly or indirectly, with the Spoor product or with the AI providers Spoor relies on. - Mass-scrape, extract, or harvest model Outputs for purposes beyond your personal authorised use. - Misrepresent AI-generated content as the work of a licensed human professional (such as a medical doctor, attorney, or financial advisor) in any context where such misrepresentation could cause harm. - Submit jailbreak prompts intended to bypass the AUP or safety filters. **10.5 Moderation of hosted image prompts.** Before hosted text-to-image generation runs, Spoor submits the user prompt to Waffo Pancake Prompt Sift (`scan-prompt`). Generation proceeds only on an `allow` verdict. `block` and `review` do not generate an image and do not consume a successful generation. **10.6 Reporting.** Content-policy violations must be reported through the dedicated channels in the AUP — the [report form](https://spoor.ink/report) or [w978109720+aup@gmail.com](mailto:w978109720+aup@gmail.com) — not only via general customer support. **10.7 Enforcement.** We may warn, remove content, limit hosted AI, suspend or terminate accounts, and refer illegal L1 activity to authorities, as described in the AUP. Accounts closed for AUP breach are not entitled to refunds under §7.4. --- ## 11. Data, Privacy & Security **11.1 Local-first by default.** Free-tier canvas content lives on your device. Spoor's servers do not receive it. Optional Supabase-based cloud sync, when enabled, transmits encrypted canvas snapshots to your own Supabase project under your control — see our [Supabase setup guide](./SUPABASE.md). **11.2 Privacy policy.** Your use of the Service is governed by our Privacy Policy, available as a dedicated page at [https://spoor.ink/privacy](https://spoor.ink/privacy) and linked from the landing, pricing, and community footers. **11.3 Payment data.** Paid-plan card data is processed exclusively by our PCI-DSS-compliant payment processor (**Waffo Pancake**); Spoor never stores raw card data on its own servers. **11.4 Data retention.** - Free-tier local canvas data lives on your device and is removed by you when you uninstall the application or clear browser storage. - Account and cloud-synced data is retained for 30 days after cancellation, then deleted in accordance with our Privacy Policy. --- ## 12. Disclaimers & Limitation of Liability **12.1 Disclaimer.** The Service is provided on an "**as is**" and "**as available**" basis, without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or accuracy of any AI Output. **12.2 AI-output disclaimer.** ⚠️ **AI outputs may be inaccurate, incomplete, or out of date. Do not use them as legal, medical, financial, or other professional advice.** Always verify with a qualified professional before acting on AI-generated content. **12.3 Limitation of liability.** To the maximum extent permitted by applicable law, Spoor shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages. Spoor's total aggregate liability for any claim arising out of or relating to the Service shall not exceed the greater of (a) the amount you have paid Spoor in the 12 months preceding the event giving rise to the claim, or (b) USD 100 (or equivalent). **12.4 Nothing in these Terms** is intended to exclude or limit any statutory rights you may have that cannot be excluded or limited under the laws of the People's Republic of China. --- ## 13. Term & Termination These Terms remain in effect for as long as you use the Service. We may suspend or terminate your account if you materially breach these Terms, engage in suspected fraud, or are required to do so by law. If we terminate the Service for reasons other than your breach, we will refund any prepaid, unused portion on a pro-rata basis. You may delete your account at any time by contacting [w978109720@gmail.com](mailto:w978109720@gmail.com) or by using the in-app Settings → Account → Delete flow (if available). --- ## 14. Governing Law & Disputes These Terms are governed by the laws of the People's Republic of China. Before initiating any formal proceeding, please contact [w978109720@gmail.com](mailto:w978109720@gmail.com) to attempt informal resolution. Disputes that cannot be resolved informally shall be submitted to the people's court with jurisdiction at our domicile in Chancheng District, Foshan, Guangdong, China. --- ## 15. General Provisions We may update these Terms from time to time. Material changes will be communicated by email at least 14 days before the effective date, and announced in the application when you next sign in. Continued use after the effective date constitutes acceptance of the revised Terms. If any provision is held unenforceable, the remaining provisions remain in full effect. These Terms, together with the Privacy Policy and the Acceptable Use Policy, constitute the entire agreement between you and Spoor. --- ## 16. # Spoor — 服务条款 > 中文译本仅供参考。如与英文版不一致，以英文版为准。 **版本：** 1.1.0 **最后更新：** 2026 年 8 月 20 日 --- ## 1. 条款接受 欢迎使用 **Spoor**（以下简称"Spoor"、"我们"或"本公司"）。 我们是依据中华人民共和国法律注册成立的公司 **灰阶法典（佛山）科技有限公司**，注册地址为广东省佛山市禅城区。 本《服务条款》（以下简称"条款"）规范您对我们通过 [https://spoor.ink](https://spoor.ink) 或 Spoor 桌面端程序（Tauri 运行时）所提供的 AI 空间便签服务的访问和使用。本服务包括无限画布、AI 角色（真知镜、编织者、熨烫师、占星术，以及其他角色），以及任何相关功能（下称"**服务**"）。 您创建账户、订阅套餐、或以其他方式使用本服务，即视为您确认：（a）已年满 18 周岁；（b）已阅读、理解并同意受本条款约束；（c）同意我们的隐私政策；（d）有权代表您自身或您所属机构签署本协议。 > 如您不同意本条款，请勿使用本服务。条款更新后您继续使用本服务，即视为接受修订后的条款。 --- ## 2. 服务说明 **2.1 我们提供什么。** Spoor 提供一个由 AI 驱动的空间便签画布。用户可在同一张无限画布上摆放便签、截图、文档、研究发现和 AI 回复，再调动 AI 角色对其想法进行发问、联想、改写、研究。本服务以数字 SaaS 产品的形式提供，可通过浏览器或 Windows 桌面安装包（NSIS / Tauri 打包）访问。 **2.2 服务的数字属性。** 本服务是数字化的无形产品。付款完成后访问权限即时开通；对于免费版，注册后立即可用。由于服务即时交付的性质，退款受第 7 条规定的具体限制。 **2.3 AI 模型依赖方。** 本服务依赖第三方 AI 模型和搜索提供方，包括 Google（Gemini / `@google/genai`）、Volcengine Ark（火山方舟/豆包）、Xiaomi MiMo、DeepSeek、Metaso、302.AI，以及您或我们配置的其他任何模型。**对于在免费版下自带 API Key 的用户（BYO Key——见 §9.5），该提供方为您本人的直接合同方；**我们既非该交易的当事方，也不查看或代收您的账务。已登录的免费用户与 Pro 用户使用 Spoor 托管 AI 时，本应用设置面板中列示了我们所用的提供方。本服务的性能与可用性可能受上述第三方的影响；我们将就重大服务中断及时通知用户。 **2.4 本地优先的数据存储。** 免费版将所有画布内容本地存储于您的浏览器 IndexedDB（网页版）或本地磁盘（桌面版）。**除非您主动登录启用可选的 Supabase 云端同步——详见我们的 [Supabase 设置指南](./SUPABASE.md)——Spoor 的服务器不会接收到这些内容。** --- ## 3. 账户注册 **3.1 账户创建。** 使用本服务需要用准确、完整的信息创建账户，或通过现有身份提供商登录。您有责任妥善保管登录凭据，并对您账户下发生的全部操作负责。 **3.2 账户安全。** - 若发现未经授权的使用，请立即联系 [w978109720@gmail.com](mailto:w978109720@gmail.com)。 - 不得将登录凭据分享给任何第三方。 - 请保持账单邮箱地址持续有效。 **3.3 企业账户。** 如您代表一家公司或其他组织进行注册，您声明已获得授权代表该实体签署本协议。 --- ## 4. 套餐 我们提供订阅套餐用于访问本服务。**当前的具体套餐和定价详见定价页（[https://spoor.ink/pricing](https://spoor.ink/pricing)）。** 免费版免费提供。 我们保留随时修改套餐功能、推出新套餐或下线既有套餐的权利。价格变更规则适用 §5.1 的规定。 > **关于本地优先的提示：** 免费版将内容本地存储于您的设备。您甚至**无需 Spoor 账户**即可在桌面版上配合自己的 AI 提供商使用本应用。仅在订阅付费套餐、启用云端同步、使用托管 AI 额度、或发起订阅时，才需要账户。 --- ## 5. 计费与付款 **5.1 自动续费授权。** 您在提供支付方式并订阅付费套餐时，即明确授权 Spoor 在每个计费周期开始时、以及每个续费周期开始时，向您的支付方式收取当时的订阅费用，直至您依 §6 取消订阅。**针对年度订阅，我们将在续费日前至少 7 天发送续费通知邮件。** **5.2 免费版。** 免费版无需付款。使用免费版即视为同意：当您使用自带 API Key 调起 AI 角色时，所产生的 AI 调用费用由您所选的提供方（Google、Volcengine 等）按该提供方自己的条款直接向您开具。Spoor 不对免费版用户收取、处理、传输或存储您的支付卡数据。 **5.3 托管 AI 额度。** 已登录的免费账户可使用一份托管额度：50 万文本 token、10 张生成图片、30 分钟语音写作（语音识别，外加最多 2 万字语音合成）。该额度按账户累计，不会按月刷新。Pro 套餐走同一托管通路，不受上述上限。您也可以使用自己的 API Key；该费用由对应提供方收取，不计入雪泥额度。 **5.4 支付处理方。** 付费套餐的支付数据**仅**由我们符合 PCI-DSS 标准的支付处理方（**Waffo Pancake**）处理。Spoor 不在自己的服务器上存储原始支付卡数据。 **5.5 税费。** 除非另行说明，所列价格不含适用税费（含增值税、GST、销售税等）。如适用法律要求，我们将代为收取并代缴相关税费。 --- ## 6. 取消 **6.1 如何取消。** 您可以随时通过以下任一方式取消订阅： - **在线（推荐）：** 设置 → 订阅 → 取消订阅 - **邮件：** 从您账户关联的邮箱发送取消请求至 [w978109720@gmail.com](mailto:w978109720@gmail.com)。 取消在当前计费周期结束时生效。我们将在 10 分钟内向您发出确认邮件。 **6.2 取消的效果。** - 在当前计费周期结束前，您的访问权限完全保留。 - 后续周期不会再被扣款。 - 云端同步的账户数据将在取消后保留 30 天，然后依据我们的隐私政策予以删除。**本地存储的画布数据不会因云端订阅的取消而受影响；它会继续停留在您的设备上，直到您自行删除。** - 若仍在 §7 规定的任何退款窗口内，您仍可在取消后申请退款。 **6.3 降级的效果。** 降级至更低套餐（如 Pro → Free）在当前计费周期结束时生效。更高套餐独有的功能届时可能停用。 --- ## 7. 退款政策 **7.1 总原则。** 本服务为数字化、付款后即时开通的服务，订阅费用原则上不予退款，但本条所列情形除外。 **7.2 可退款的情形。** - **新订阅者 7 日保障。** 首次订阅用户可在首次扣款后 7 日内申请全额退款，前提是您的用量未超过本套餐月度额度的 20%。 - **重复扣款。** 因我方确认的计费错误造成的重复扣款，全额退款。 - **已核实的服务中断（超过 72 小时）。** 因我方原因造成的长时间中断，可按未使用部分比例退款或延长订阅期，您可以二选其一。 - **法定权利。** 适用法律赋予的撤销权或退款权（例如欧盟/英国 14 日冷静期、澳大利亚消费者法、加州消费者权利等），该等权利予以保留。 **7.3 如何申请。** 请将申请邮件发送至 [w978109720@gmail.com](mailto:w978109720@gmail.com)，并附您的账户邮箱、交易 ID 和退款原因。我们将在 2 个工作日内确认，并在 5–10 个工作日内将符合条件的款项原路退回。 **7.4 不予退款项。** - 已使用的订阅周期费用（§7.2 所列情形除外）。 - 年度订阅初始购买 30 日后提出的退款申请。 - 因违反本条款或可接受使用政策（§10）而被关闭的账户。 **7.5 BYO Key 下的提供方费用。** Spoor 不向免费版用户收取 AI 调用费用，也无法对您自带 API Key 时由第三方 AI 提供方（Google、Volcengine 等）直接向您收取的费用发起退款。相关事宜请直接联系您的提供方。 --- ## 8. 账单争议 若您认为某项扣款有误，请在向您的银行或支付发起方提起交易争议之前，先行联系 [w978109720@gmail.com](mailto:w978109720@gmail.com)。我们承诺在 2 个工作日内予以回复，并在 5 个工作日内解决经核实的计费错误。 --- ## 9. AI 内容与知识产权 **9.1 输出内容的归属。** 在您遵守本条款的前提下，由您的输入生成的 AI 内容（下称"**输出内容**"）归您所有。您可以将输出内容用于第 10 条所允许范围内的任何合法用途。 **9.2 输入内容的许可。** 您向本服务提交内容（下称"**输入内容**"），即向 Spoor 授予一项有限的、非排他性的许可，仅用于向您提供服务（包括在适用情况下将输入内容传输至您所选的 AI 提供方）。**未经您的明确同意，我们不会将您的输入内容用于训练任何 AI 模型。** **9.3 第三方 AI 模型依赖方（如适用）。** Spoor 依赖第三方模型与搜索提供方（包括 Google、Volcengine、Xiaomi MiMo、DeepSeek、Metaso、302.AI）。输出内容可能反映上述提供方模型的特点和局限性。我们不为任何特定输出质量作保证，也不为由您自带 Key（BYO Key）的第三方模型所生成的内容承担责任。 **9.4 不对输出作保证。** AI 生成的内容可能包含错误、遗漏或过期信息。在依赖任何输出内容之前，您有责任自行审阅与核实。 **9.5 BYO Key——您与 AI 提供方之间的直接关系。** 当您在设置中粘贴自己的 AI 提供方 API Key 时： - 您与该提供方之间，依其自身的条款，成立了直接的商业关系。 - Spoor 仅在必要的范围内（设备发起调用所必需）触及该 Key，**不会**将 Key 上传、存储或代收款项。 - Spoor 不会作为该提供方的转售商、代理人或共同合同方。 - Spoor **不是**您与该提供方之间协议的当事方，也不就该协议项下的任何事项向您承担责任。 若您的提供方撤销您的 Key、上调配额上限、或终止对您的访问，Spoor 无法恢复受影响角色的服务，亦不对由此产生的任何损失承担责任。 --- ## 10. 可接受使用 独立的[《内容可接受使用政策（AUP）》](https://spoor.ink/aup)构成本条款的一部分。就内容安全事项，如本条与 AUP 不一致，以 AUP 为准。 **10.1 允许用途。** 您仅可将本服务用于符合本条款与 AUP 的合法用途，包括个人便签、研究、业务生产力、教育与创意工作。 **10.2 禁止生成的内容。** 您不得利用本服务（包括由用户输入文本驱动的托管 AI 生图）生成、请求或传播下列任何一类内容。下列类别须逐一列出、分别禁止，不得以“违法内容”等笼统表述替代： - **色情 / NSFW 内容。** - **暴力 / 血腥内容。** - **仇恨言论。** - **儿童不安全内容（CSAM）** 以及任何涉及未成年人的性相关内容。 - **深度伪造 / 冒充他人（Deepfake）**，包括未经同意的真实个人亲密影像。 - **侵犯版权 / 商标的内容。** **10.3 其他禁止用途。** 您亦同意不： - 生成其他非法、诽谤、骚扰、欺骗或欺诈性的内容。 - 制作恶意软件、钓鱼内容或网络攻击工具。 - 绕过或干扰本服务的任何安全特性，包括提示词安全扫描。 - 未经我方事先书面同意，转售或分包访问权限。 - 违反任何适用法律、法规或卡组织规则（在付费套餐使用接受卡组织的支付处理方时）。 **10.4 AI 专项禁令。** 您明确同意不： - 利用本服务的输入、输出、模型响应或任何衍生数据，对任何直接或间接与本服务或 Spoor 产品构成竞争关系的人工智能或机器学习模型，进行训练、微调、基准测试、知识蒸馏或以其他方式开发。 - 大规模、系统性地爬取、提取或采集模型输出，用于您个人被授权用途之外的任何目的。 - 在可能造成危害的场景下，将 AI 生成的内容标榜为来自持有执照的人类专业人员（如执业医师、律师或金融顾问）的成果。 - 提交用于绕过 AUP 或安全过滤器的越狱提示词。 **10.5 托管生图提示词审核。** 在托管文生图实际调用模型前，Spoor 会将用户提示词提交至 Waffo Pancake Prompt Sift（`scan-prompt`）。仅当判定为 `allow` 时才生成；`block` 与 `review` 均不生成，亦不计入一次成功出图。 **10.6 举报。** 内容政策违规须通过 AUP 中的专用渠道举报——[举报表单](https://spoor.ink/report) 或 [w978109720+aup@gmail.com](mailto:w978109720+aup@gmail.com)——而不仅是通用客服联系方式。 **10.7 违规处置。** 我们可按 AUP 发出警告、移除内容、限制托管 AI、暂停或终止账户，并将涉嫌违法的 L1 情形移送主管机关。因违反 AUP 被关闭的账户不适用 §7.4 项下的退款。 --- ## 11. 数据、隐私与安全 **11.1 默认本地优先。** 免费版的画布内容存储于您的设备。Spoor 的服务器**不会**接收到这些内容，除非您启用了云端同步（见 [Supabase 设置指南](./SUPABASE.md)）。 **11.2 隐私政策。** 您对本服务的使用还受我们的隐私政策约束。隐私政策以独立页面发布于 [https://spoor.ink/privacy](https://spoor.ink/privacy)，并在落地页、定价页与社区页页脚提供入口。 **11.3 支付数据。** 付费套餐的卡数据**仅**由我们符合 PCI-DSS 标准的支付处理方（**Waffo Pancake**）处理。Spoor 不会在自己的服务器上存储原始卡数据。 **11.4 数据保留。** - 免费版的本地画布数据保存在您的设备上，您卸载应用或清除浏览器存储即被删除。 - 账户及云同步数据将在取消后保留 30 天，然后依据我们的隐私政策删除。 --- ## 12. 免责声明与责任限制 **12.1 免责声明。** 本服务以"**现状**"和"**如可用**"之基础提供，不提供任何明示或默示的保证，包括对适销性、特定用途适用性、或 AI 输出准确性的保证。 **12.2 AI 输出免责声明。** ⚠️ **AI 输出可能不准确、不完整或已过时。** **请勿将其用作法律、医疗、金融或其他专业建议。** 在依据 AI 生成的内容采取行动前，请务必与具备相应资质的专业人士核实。 **12.3 责任限制。** 在适用法律许可的最大范围内，Spoor 对任何间接、偶发、衍生、特殊、惩戒性或惩罚性损害不承担责任。Spoor 就任何与本服务相关或由此引起的索赔的累计责任，以**较高者**为准：（a）索赔事件发生前 12 个月内您已向我们支付的费用总额，或（b）100 美元（或等值货币）。 **12.4 本条款的任何内容**均不意在排除或限制您依据中华人民共和国法律不得被排除或限制的任何法定权利。 --- ## 13. 期限与终止 本条款在您使用本服务的整个期间持续有效。如您严重违反本条款、涉嫌存在欺诈行为、或我们依法有义务，您可被我们暂停或终止账户。如我方因您违约之外的原因终止服务，我们将按未使用部分比例退还预付费用。您可随时通过联系 [w978109720@gmail.com](mailto:w978109720@gmail.com) 或（若可用）在应用内"设置 → 账户 → 删除"流程中删除您的账户。 --- ## 14. 适用法律与争议解决 本条款受中华人民共和国法律管辖。在提起任何正式程序前，请先通过 [w978109720@gmail.com](mailto:w978109720@gmail.com) 尝试非正式的协商解决。经非正式协商未能解决的争议，由本公司住所地（广东省佛山市禅城区）有管辖权的人民法院管辖。 --- ## 15. 通用条款 我们可能不时更新本条款。重大变更将通过您账户邮箱在生效日前至少 14 天发出通知，并在您下次登录时于应用内显著提示。生效日后您继续使用，即视为接受修订后的条款。如本条款的任何条款被认定为不可执行，其他条款继续完全有效。本条款与我们的隐私政策、内容可接受使用政策（AUP）共同构成您与 Spoor 之间的完整协议。 --- ## 16. 联系方式 对本条款、账单、退款、取消订阅、隐私或安全有疑问，请发送邮件至 [w978109720@gmail.com](mailto:w978109720@gmail.com)。**举报 AUP / 生成内容违规，请使用专用表单 [https://spoor.ink/report](https://spoor.ink/report) 或 [w978109720+aup@gmail.com](mailto:w978109720+aup@gmail.com)。** 付费套餐也可在应用内取消：设置 → 订阅 → 取消。 - **法律主体：** 灰阶法典（佛山）科技有限公司 - **通讯地址：** 广东省佛山市禅城区 - **网站：** [https://spoor.ink](https://spoor.ink) 使用本服务、或在结账时勾选"我同意"，即视为您已阅读并同意本条款。
